In relation to the proposed acquisition of The Reject Shop Limited (The Reject Shop or Reject Shop) by Dollarama International Inc., a direct wholly-owned Canadian subsidiary of Dollarama Inc., the Federal Court of Australia made orders on 16 May 2025:

that The Reject Shop convene and hold a meeting of Reject Shop shareholders to consider and vote on the Scheme (Scheme Meeting); and

approving the distribution of an explanatory statement providing information about the Scheme, including the notice of meeting for the Scheme Meeting (Scheme Booklet).

The Scheme Booklet sets out details of the proposed transaction and important matters relevant to your vote in relation to the Scheme. The Scheme Booklet also includes a copy of the independent expert’s report prepared by Kroll Australia Pty Ltd (Independent Expert) and the notice of meeting for the Scheme Meeting.

The Reject Shop Board unanimously recommends that Reject Shop shareholders vote in favour of the Scheme at the Scheme Meeting, in the absence of a superior proposal and subject to the Independent Expert continuing to conclude that the Scheme is in the best interests of Reject Shop shareholders and not subsequently changing that conclusion to be that the Scheme is not in the best interests of Reject Shop shareholders. In noting the unanimous recommendation of The Reject Shop Board, Reject Shop shareholders should, when considering how to vote on the Scheme and the recommendation of The Reject Shop Board in respect of the Scheme, have regard to the interests of Reject Shop Directors which are set out in Section 5.5 of the Scheme Booklet.

Subject to these qualifications, all Directors of The Reject Shop have also confirmed that they will vote all of The Reject Shop shares held or controlled by them in favour of the Scheme.

The Reject Shop’s largest shareholder, Kin Group Pty Ltd (Kin Group) which, through its wholly-owned subsidiary, Bennamon Pty Ltd, controls approximately 20.7% of Reject Shop shares on issue as at the date of the Scheme Booklet, has informed The Reject Shop Board that it intends to vote all Reject Shop shares held or controlled by it 2 in favour of the Scheme, in the absence of a superior proposal and subject to the Independent Expert continuing to conclude that the Scheme is in the best interests of Reject Shop shareholders and not subsequently changing that conclusion to be that the Scheme is not in the best interests of Reject Shop shareholders. This refers to all Reject Shop shares held or controlled by Kin Group at the date of the Scheme Implementation Agreement, and any Reject Shop shares acquired, or which become controlled, by Kin Group between the date of the Scheme Implementation Agreement and the date of the Scheme Meeting.

it is approved by Reject Shop shareholders by the requisite majorities at the Scheme Meeting;

it is approved by the Court at the Second Court Hearing; and

the conditions to the Scheme are satisfied or waived (where capable of waiver).

Reject Shop shareholders who are registered on The Reject Shop share register at 2.30pm (AEST) on Saturday, 21 June 2025 will be entitled to attend and vote at the Scheme Meeting.

The Scheme Meeting is scheduled to be held virtually at 2.30pm (AEST) on Monday, 23 June 2025 at https://meetings.openbriefing.com/agm/TRS25/register. Reject Shop shareholders can vote during the virtual Scheme Meeting or alternatively they can submit a proxy form:

by mail to: The Reject Shop Limited, C/- MUFG Corporate Markets (AU) Limited, Locked Bag A14, Sydney South NSW 1235 Australia;

by hand delivery during business hours to: MUFG Corporate Markets (AU) Limited, Parramatta Square, Level 22, Tower 6, 10 Darcy Street, Parramatta NSW 2150; or

online via: au.investorcentre.mpms.mufg.com.

Proxy forms (and, if applicable, an original certified copy of the authority under which it is signed) must be submitted by 2.30pm (AEST) on Saturday, 21 June 2025.

All times and dates in the above table are references to the time and date in Melbourne, Australia unless otherwise indicated and all such times and dates are subject to change. In particular, the date of the Scheme Meeting may be postponed or adjourned, including if satisfaction of a condition is delayed, pursuant to the terms of the Scheme Implementation Agreement. Certain times and dates are conditional on the approval of the Scheme by Reject Shop shareholders and by the Court. Any changes will be announced by The Reject Shop to the ASX.

The Reject Shop Charitable Partnership

The Reject Shop Charitable Partnership was launched in June 2014 as an integral part of The Reject Shop’s commitment to give back to the communities where we operate and where our team members live. 

Recently, we reviewed charity partners to support that align with our values and mission, and could create a meaningful impact in the communities in which we serve. 

We narrowed down our search to three charities and gave our team members across the business an opportunity to vote on which of these charities The Reject Shop should partner with. 

Our teams have chosen to support LIVIN; an organisation that delivers mental health education in schools across the country, promoting positive mental health and well-being for people via early education and awareness programs.

By supporting LIVIN, we are joining a community that is working to reduce the stigma of mental health while improving mental fitness through early intervention and prevention initiatives. 

Donations will go directly towards funding the LIVINWell In-Schools Program and also help train new facilitators to provide valuable resources to students nationally.

Proactively lead and deliver mental health education in schools and workplaces around the country;

promote positive mental health and well-being for people through early education and awareness programs;

connect with people through innovative means;

create a brand-led movement that people can relate to and build an enduring relationship with;

create communities around Australia who lead and champion LIVIN’s vision.

LIVIN was chosen by our teams.  Three charities were presented to our team members and LIVIN resonated with our team members the most.

We are joining a community that was started by family for families and the LIVIN community is now an extension of our family at The Reject Shop.  

Although the LIVINWell program is offered to schools, free of charge, it still costs the LIVIN team on average, $683 to facilitate each program. Every dollar raised assists LIVIN in delivering these programs to our schools.

Far too many young Australians are struggling with their mental health, and we are proud to be partnering with such a great organisation that works so hard to combat this.

Every amount raised, no matter how big or small, could help kickstart potentially life-changing conversations surrounding mental health.

All team members are encouraged to help by participating in Workplace Giving 

We truly believe that our team members at The Reject Shop, will make wonderful LIVIN ambassadors and bring meaning and purpose to supporting a charitable organisation dedicated to improving the lives of young Australians.

Delivery Standards

All deliveries must be booked a minimum of 2 weeks prior to delivery. Deliveries without a booking will not be accepted or unloaded.
 When booking a delivery, the following information must be supplied:

Total      units to be delivered per line

All deliveries must be made by the date specified on the Purchase Order. Any variations to this must be agreed to by the relevant Buyer prior to booking.
 
The Reject Shop has partnered with C3 Reservations to centralise all bookings into a single online platform. All bookings must be made using the C3 online reservation portal. To arrange access to the TRS C3 system, please email the relevant Distribution Centres (DC) below:

Suppliers/Carriers with multiple bookings on the same day are encouraged to consolidate where possible.

Approval of booking consolidation is confirmed only once reflected in C3.

10 pallets or fewer: Generally supported by DC

More than 10 pallets: Approval at DC discretion

Only the products and quantities stated on the Purchase Order will be accepted. A separate invoice and correctly completed pallet dockets (as per the Pallet Transfer Policy below) must accompany all deliveries. Inner and outer cartons must comply with the following:

Inner/outer pack quantities must be consistent with the Purchase Order;

Inner/outer cartons must be of consistent product and quantity; and

Cartons must be packed in a manner which will sufficiently protect the selling unit.

Merchandise must be delivered on pallets consistent with the following:

ONLY Australian standard Loscam or CHEP pallets will be accepted (No plain pallets);

No pallet exchanges – i.e. you must have a CHEP or Loscam account;

Pallet configuration must comply with the following three criteria:
1.  Each pallet must be stacked no higher than 1.4m from ground level (Image 1).
2.  Single SKU per pallet. Mixed pallets will be rejected; and
3.  For Ribbon Pallets, each stacked pallet layer must be a single SKU (Image 2). Note- a minimum of four cartons can be configured to satisfy a Ribbon Pallet layer. 

All complete pallets must be of a consistent quantity and dimension;

Only one-part pallet per product will be accepted;

No pallets are to be wrapped in black plastic.

Deliveries will have a 1-hour delivery window (30 mins either side of your booked time). If you cannot meet this time you must advise the DC prior to delivery and reschedule.

Hours of receiving are between 6am and 2pm, Monday to Friday (excluding Public Holidays). 

Site 1670-VIC does not accept rear unloads.

CHEP and Loscam pallet movement dockets must have the date as the date the pallets arrive at our Distribution Centre

TRS name and account number are to be completed in full and correct

All pallet dockets will not be accepted if they have the incorrect information

TRS have a 30-day delay pallet account. Any transfers greater than 30 days from the ‘movement date’ will not be accepted without written supporting documentation for consideration by TRS and if agreed, will be processed as at the time of enquiry.

TRS  will not process hire pallet transfer requests received 90 days after the initial transaction date.

Defective pallets will be rejected for any of the following reasons:
      1.    Unclean
      2.    Forgeries
      3.    Missing or damaged boards or bearers

Pallets with defective or non-compliant stock directed to be returned to supplier, will need to seek direction from the TRS DC representative.

The Reject Shop will only accept the transfer of good quality CHEP or Loscam  wood pallets onto its accounts. The transfer of other CHEP or Loscam equipment  will not be accepted. Plain pallets are not returned or exchanged.

Pallets  may only be exchanged by prior agreement between trading partners. Pallets must be in a good and undamaged condition.

Trading  Partners must maintain active Pallet Accounts otherwise other arrangements will need to be made prior to delivery to DC. 

Claims: The Sending Trading Partner is to provide satisfactory evidence of the transfer of pallets. The Reject Shop will assist in investigating claims up to three months old upon receipt of satisfactory documentary evidence provided by the Sending Trading Partner. Any claim agreed to within three months will be honoured effective as at the transaction date (no delays).

The cost stated on the Purchase Order will be the cost paid for goods received.
 If you have any queries regarding the price, please contact the appropriate Buyer prior to booking.

TRS reserves the right to recover costs associated with the failure by a supplier to meet these and other requirements at time of delivery.
